IDI Annual Conference - Florence 2018
I was like every year at the IDI International Distribution Institute Annual Convention, this time in Florence, Italy, 8 to 10 June 2018.

Speaker @IBA-IFA Joint Convention May 2018 in DC

I attended like every year the IBA-IFA Joint Convention in May in Washington, D.C.
This year, I co-hosted roundatbles about franchise laws in Europe with Sylvia Bortolotti (Italy) on May 8th.
On May 9th, I was twice Speaker about enforcing international franchising judicial decisions and arbitrations with Craig Tractenberg and Kathie Lee.

France - Macron puts an end to an anti-franchise law
Great news :
Macron just revoked a former anti-franchise legal disposition!
A brand new
Law (March 29th 2018, item 7) just abrogated a former labor-oriented,
anti-franchise law item n°64, called “El Khomeri” law, dated August 8th,
2016.
As we
formerly reported in different articles, this law made no legal sense,
confusing franchisor and franchisees as one big employer when they hit together
300 employees, offering the possibility for their employees as a community to
be united in a “social dialogue” union. It was that bad.
It had only
been in effect less than a year (since May 4th 2017), and to our
knowledge never applied anyway.
All is now
back to normal: France is still the number 1 franchise market in Europe, and
number 3 in the World !

L’article 64 de la loi Travail
dite El Khomeri du 8 août 2016[1]
(LOI n° 2016-1088 relative au
travail, à la modernisation du dialogue social et à la sécurisation des
parcours professionnels) vient d’être abrogé par l’article 7 de la Loi du 29 mars
2018 de ratification des ordonnances Macron reformant le code du travail (LOI n° 2018-217 ratifiant diverses
ordonnances prises sur le fondement de la loi n° 2017-1340 du 15 septembre 2017
d'habilitation à prendre par ordonnances les mesures pour le renforcement du
dialogue social)[2].
Pour mémoire, cet
article imposait l’engagement d’une négociation entre franchiseur d’un réseau d’au
moins 300 salariés en France (tous franchisés confondus), et lesdits salariés,
en vue de la mise en place d’une instance de dialogue social commune à l’ensemble
du réseau de franchise.
C’est un soulagement
pour l’ensemble des franchiseurs français, qui avaient à l’époque largement
contesté cette mesure jusqu’à son entrée en vigueur par le décret n°2017-773 du
4 mai 2017.
Cette disposition
abrogée était en effet d’une part très imprécise quant à ses modalités d’application,
entraînant de grandes incertitudes concernant sa mise en œuvre, mais d’autre
part elle était surtout juridiquement insensée : le franchiseur et chacun
des franchisés sont des entreprises indépendantes, des sociétés distinctes,
avec chacune une personnalité morale propre. C’est un des fondements de la franchise.
Le franchiseur ne peut être considéré comme l’employeur des salariés de ses
franchisés, et un franchisé ne peut pas non plus être considéré comme l’employeur
des salariés des autres franchisés (ni du franchiseur). Créer une fiction
juridique allant à l’encontre de ces principes était une aberration.

Working on the next IBA/IFA event in DC - #Arbitration and #International #Franchising
I'll be speaking twice this year at the next joint convention of the IBA and IFA in Washington DC, on May 8th and 9th, 2018.
1) "Franchising in the Civil Law countries in Europe"
This first will be co-hosting a roundtable on "#franchising in the Civil Law countries in #Europe".
It's a co-production of the IFA Legal Symposium and IFA/IBA Joint Conference, a new and not to be missed 3 hour International Franchising Basics Track intensive program in the afternoon on Tuesday May 8, 2018. It's intended to bridge the annual IFA Legal Symposium and annual IFA/IBA Joint Conference on International Franchising that immediately follows.
2) "Enforcing Judicial Decisions & Arbitrations"
"Enforcing Judicial Decisions & Arbitrations" will be the other one, on Wednesday 9th, a workshop with the International Franchising Committee of the IBA.
Workshop topic: Having success in litigation or #arbitration is only half the battle in achieving your goals and securing a remedy. The other half is being able to successfully enforce your award or order, and/or being able to collect monies owing.
This workshop will consider those issues in the context of #international #franchising.
We'll be writing a #paper with some great colleagues. I'll let you know!

The last paper I co-authored in franchising and arbitration was : “ANATOMY OF A FRANCHISE DISPUTE: LESSONS FOR TRANSACTIONAL LAWYERS DRAFTING FRANCHISING AGREEMENTS”.
